A Nova Scotia court has given the green light for the sale of the majority of assets belonging to John Risley's troubled holding company, CFFI Ventures Inc., to a New York-based firm. This decision came as part of the insolvency process initiated due to the company's significant financial challenges.
On Friday, Nova Scotia Supreme Court Judge John Keith approved the asset transfer, facilitating a crucial transaction that allows CFFI Ventures to relinquish most of its holdings. The recipient of these assets is New Tide Capital LP, an independent investment advisory firm situated in New York.
The financial plight of CFFI Ventures became apparent earlier this year when the company was placed under creditor protection in March. Facing an overwhelming burden of nearly US$1 billion in debt, the firm found itself unable to sustain operations. The court documents reveal that the company’s financial situation had deteriorated significantly, prompting the need for legal protection to reorganize and address its debts.
The court-appointed monitor overseeing the asset transfer has outlined that New Tide Capital will inherit approximately US$1.12 billion of CFFI’s liabilities. This acquisition includes not just the debt but also an equity interest in the company, a substantial portion of CFFI's cash reserves, and a noteworthy collection of artworks. Such assets are critical in attempting to stabilize CFFI’s financial standing and provide a framework for its future.
Notably, New Tide Capital is affiliated with HPS Investment Partners LLC, a well-established alternative investment firm also based in New York. HPS was a significant player in the financial crisis that befell CFFI Ventures, as it held the majority of the company’s outstanding debt. Historical records indicate that the financial troubles can be traced back to a US$250-million loan issued in 2017. Over time, this original amount ballooned to nearly US$1 billion as rising interest rates peaked at 28% when CFFI failed to meet its payment obligations.
The court's decision to approve the sale comes at a critical juncture for both CFFI Ventures and its creditors, as it allows for the potential for restructuring and recovery in the wake of significant financial distress. This action may not only salvage parts of CFFI’s operations but could also pave the way for a more sustainable financial model moving forward.
